End User License Agreement

Subject to your compliance with this Agreement and timely payment of applicable subscription fees, OwnerBuilt grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial construction project management purposes.

You may use the Service to:

• Track budgets, payments, subcontractors, schedules, and related records for residential construction projects in which you are the owner-builder.
• Generate, store, and export documents, reports, and data related to your own construction projects.
• Access AI-assisted features, including the OwnerBuilt Help Assistant, for informational guidance in connection with the Service.

You agree that you will not:

• Use the Service on behalf of a third party, including as a licensed general contractor or construction manager, without express written authorization from OwnerBuilt.
• Resell, sublicense, lease, rent, or otherwise transfer access to the Service to any third party.
• Reverse engineer, decompile, or attempt to derive the source code of the Service.
• Remove, alter, or obscure any proprietary notices or branding on the Service.
• Use automated means (bots, scrapers) to access the Service without express written permission.

Access to the Service requires a paid subscription. Subscription fees are billed in advance through our third-party payment processor. You may cancel at any time through your Account Settings; cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods, except as required by applicable law.

Archive Mode: Upon cancellation or non-payment, your account transitions to a read-only Archive Mode. Your project data is retained for a minimum of twelve (12) months following cancellation, after which OwnerBuilt reserves the right to permanently delete archived data with thirty (30) days' prior notice.

The Service and all content created by OwnerBuilt remain the exclusive property of OwnerBuilt and its licensors. You retain all ownership rights to the data and content you input into the Service ("User Data"). By using the Service, you grant OwnerBuilt a limited license to store and process your User Data solely as necessary to provide the Service.

The Service includes AI-powered features, including the OwnerBuilt Help Assistant. You acknowledge that:

• AI Features are informational only and do not constitute legal, financial, engineering, or professional construction advice.
• AI output may be inaccurate. OwnerBuilt does not warrant the accuracy or completeness of any AI-generated content.
• You are responsible for your decisions. All construction, financial, and contractual decisions are solely your responsibility.

Your use of the Service is governed by our Privacy Policy, which is incorporated into this Agreement by reference.

The Service is provided "as is" and "as available," without warranty of any kind. To the fullest extent permitted by applicable law, OwnerBuilt disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. You assume all risk arising from your use of the Service.

To the fullest extent permitted by applicable law, OwnerBuilt's total liability to you shall not exceed the greater of: (a) the total fees paid by you to OwnerBuilt in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100.00). In no event shall OwnerBuilt be liable for any indirect, incidental, special, consequential, or punitive damages.

You agree to indemnify and hold harmless OwnerBuilt and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising out of your use of the Service, your violation of this Agreement, or any construction decisions made in reliance on the Service.

This Agreement is effective from the date you first access the Service. OwnerBuilt may suspend or terminate your access immediately if you breach any material term of this Agreement or fail to pay applicable fees. Upon termination, your license ceases immediately. Sections 5, 6, 8, 9, 10, 13, and 14 survive termination.

This Agreement is governed by the laws of the State of Utah, without regard to conflict of law principles. Any legal action shall be brought exclusively in the state or federal courts located in Salt Lake County, Utah.

Before initiating formal dispute proceedings, you agree to contact OwnerBuilt and attempt informal resolution for thirty (30) days. If informal resolution fails, disputes shall be resolved by binding arbitration under the AAA Consumer Arbitration Rules. You waive any right to participate in class action proceedings.

OwnerBuilt may modify this Agreement at any time with at least thirty (30) days' advance notice via email or in-app notification. Your continued use of the Service after the effective date of any modification constitutes acceptance of the updated Agreement.
